TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern access to and use of MehmiGroup.com, related websites, online forms, portals, communications and commercial financing brokerage services provided by Mehmi Group Corp., doing business as Mehmi Financial Group and Mehmi Group ("Mehmi," "MehmiGroup," "we," "us," or "our").

Please read these Terms carefully before using our Website or requesting Services.

By clicking "I Agree," submitting an application or financing request, creating an account, electronically accepting these Terms, or otherwise using Services that expressly require acceptance of these Terms, you acknowledge that you have read, understood and agreed to be legally bound by these Terms.

If you are accepting these Terms on behalf of a corporation, partnership, sole proprietorship or other business entity, you represent and warrant that you have authority to bind that entity.

These Terms do not replace any financing agreement, lease, loan agreement, factoring agreement, merchant agreement, security agreement, personal guarantee, legally required disclosure or other agreement entered into directly with a financing provider.

1. COMMERCIAL SERVICES ONLY

Mehmi provides commercial financing brokerage, referral, application assistance and related services solely in connection with legitimate business and commercial purposes.

Services may include, where legally available:

  • equipment financing and leasing;
  • commercial vehicle and truck financing;
  • business loans and working capital;
  • business lines of credit;
  • refinancing and sale-leaseback transactions;
  • asset-based financing;
  • invoice and freight factoring;
  • accounts receivable financing;
  • sales-based financing or merchant cash advance products;
  • vendor and dealer financing programs;
  • embedded commercial financing programs; and
  • other business-purpose financing products offered by third-party providers.

Mehmi does not provide consumer-purpose financing, payday loans, personal loans, residential mortgages, consumer debt settlement, investment advice, securities advice, legal advice, tax advice, accounting advice or any other service that Mehmi is not legally authorized to provide.

You certify that any financing requested through Mehmi is intended primarily for business or commercial purposes and not primarily for personal, family or household purposes.

2. MEHMI IS A BROKER, NOT A LENDER

Mehmi Group Corp. is a commercial financing brokerage and intermediary. Mehmi is not a bank, credit union or direct lender and does not itself fund financing transactions unless expressly stated in a separate written agreement.

Mehmi assists applicants in identifying, presenting and submitting financing opportunities to independent third-party banks, credit unions, finance companies, leasing companies, private lenders, factors, asset-based lenders and other financing providers.

Each financing provider independently determines whether to consider, approve, decline, condition, modify or fund a transaction.

Mehmi does not control a financing provider's underwriting standards, credit decisions, rates, pricing, documentation requirements, funding decisions or timing.

No statement by Mehmi may be interpreted as requiring a third-party financing provider to approve or fund a transaction.

3. NO FIDUCIARY, ADVISORY OR AGENCY RELATIONSHIP

Mehmi does not act as your fiduciary, investment adviser, legal adviser, tax adviser, accountant, agent or representative unless a separate written agreement expressly states otherwise.

Mehmi is not required to search every financing provider or financing product available in the marketplace.

Mehmi does not guarantee that a financing option presented to you is the lowest-cost, lowest-rate, fastest, best or otherwise most favourable financing available.

You are responsible for reviewing the terms of any financing offer and determining whether the transaction is appropriate for your business.

You may obtain independent legal, accounting, tax or financial advice before entering into any financing transaction.

4. ELIGIBILITY

To use the Services, you must:

  1. be at least 18 years old or the age of majority applicable to you;
  2. have legal capacity to enter into binding agreements;
  3. be acting for a legitimate business or commercial purpose;
  4. have authority to provide information concerning the applicable business;
  5. have authority to submit the financing request;
  6. be located in, or applying on behalf of a business located in, a jurisdiction in which Mehmi is legally permitted to provide the applicable Services; and
  7. provide truthful, complete and accurate information.

Mehmi may establish additional eligibility requirements based on jurisdiction, transaction type, requested financing amount, lender requirements or compliance considerations.

5. UNITED STATES JURISDICTIONAL RESTRICTIONS

Mehmi provides U.S. commercial financing brokerage Services only where Mehmi has determined that the applicable activity may lawfully be provided based on the jurisdiction, financing product, transaction structure and Mehmi's licensing, registration, filing or exemption status.

Restricted States

Unless Mehmi confirms in writing that an applicable license, registration, filing, statutory exemption or other legal authorization permits a specific transaction, Mehmi does not accept or broker commercial financing applications involving borrowers or recipients located or principally based in:

California
Illinois
Missouri
Nebraska
North Carolina
North Dakota
Vermont

Submission of an application from a restricted jurisdiction does not create an obligation for Mehmi to process, broker, submit or arrange that application.

Mehmi may immediately decline or close such a file.

Product-Specific Restrictions

Certain states regulate particular commercial financing products more extensively.

Unless Mehmi has obtained any registration required for the transaction or determined that a lawful exemption applies:

Connecticut: Mehmi will not broker commercial financing constituting covered sales-based financing under applicable Connecticut law.

Virginia: Mehmi will not broker covered sales-based financing requiring broker registration under applicable Virginia law.

Texas: Mehmi will not broker covered commercial sales-based financing where registration is required unless Mehmi's required registration is active or Mehmi is otherwise legally permitted to engage in that activity.

Restrictions may apply based on the applicant's state of organization, principal place of business, residence of an individual business owner, location of the financing recipient, collateral location, transaction structure or other jurisdictional connection.

The availability of a webpage, advertisement, article, calculator, application form or financing description in a particular jurisdiction does not mean that Mehmi is legally offering every Service in that jurisdiction.

Mehmi reserves the right to decline any application where providing the requested Service could require a license, registration, filing, bond, authorization or other regulatory status that Mehmi does not possess.

These restrictions may change as laws, regulations, registrations, exemptions or Mehmi's regulatory status change.

6. APPLICATION INFORMATION AND APPLICANT CERTIFICATIONS

When submitting an inquiry or application, you represent and warrant that all information and documents you provide are accurate, current, authentic and complete.

This includes, as applicable:

  • legal business name and ownership;
  • addresses;
  • incorporation or organization information;
  • tax identification information;
  • financial statements;
  • tax returns;
  • bank statements;
  • invoices and purchase orders;
  • equipment details;
  • ownership information;
  • existing debt;
  • accounts receivable information;
  • identification documents;
  • credit information; and
  • information concerning guarantors or principals.

You must promptly inform Mehmi of any material change occurring before funding, including changes in financial condition, ownership, equipment, vendor, purchase price, bank accounts, existing debt, pending insolvency, legal proceedings or other circumstances relevant to underwriting.

Mehmi and financing providers may rely on information supplied by you.

Providing false, altered, fabricated, misleading or materially incomplete information may result in immediate rejection, termination of Services, withdrawal of an approval, cancellation of a transaction, notification to financing providers, or other action permitted or required by law.

7. AUTHORITY TO VERIFY INFORMATION

You authorize Mehmi, its service providers and prospective financing providers, to the extent permitted by applicable law and reasonably necessary to evaluate or process your financing request, to verify information supplied in connection with an application.

Verification may include confirming information with:

  • corporate registries;
  • government databases;
  • credit reporting agencies;
  • financial institutions;
  • accountants or bookkeepers where authorized;
  • vendors and equipment dealers;
  • insurers;
  • lien and security registries;
  • identity-verification providers;
  • bank-verification providers;
  • fraud-prevention services;
  • public records; and
  • other appropriate sources.

Mehmi may require additional documentation or independent verification before continuing to process a file.

8. CREDIT REPORT AUTHORIZATION

A personal consumer credit report will be obtained only where there is a lawful basis and any required authorization has been obtained.

Where you separately provide a Credit Report Authorization, you authorize Mehmi and/or financing providers to whom your application is submitted, as applicable and to the extent permitted by law, to obtain and use business credit reports and personal consumer credit reports for the purpose of evaluating, underwriting, processing or administering the requested commercial financing transaction.

A financing provider may require a hard credit inquiry. A hard inquiry may appear on your credit file and may affect your credit score.

Where Mehmi submits an application to more than one financing provider, more than one financing provider may obtain a separate credit report or make a separate credit inquiry if legally permitted and properly authorized.

Mehmi generally seeks to review an application before unnecessary hard credit inquiries are made, but Mehmi cannot guarantee that a soft inquiry will be available or sufficient for every financing provider.

Submitting an inquiry to Mehmi does not by itself authorize Mehmi to obtain the consumer credit report of another person.

Each individual owner, principal or personal guarantor whose personal credit may be obtained must provide their own authorization where required.

No person submitting an application on behalf of a business represents that they can consent to a personal credit inquiry on behalf of another individual unless applicable law expressly permits such authorization.

9. IDENTITY, ANTI-FRAUD AND COMPLIANCE REVIEW

Mehmi may conduct identity verification, business verification, beneficial ownership review, fraud screening and other compliance checks.

Mehmi does not knowingly assist with fraud, identity theft, money laundering, terrorist financing, document falsification, straw transactions, undisclosed ownership, fraudulent invoices, illegal businesses or transactions prohibited by applicable law.

Mehmi may pause, decline, terminate or refuse to submit any application where information cannot be satisfactorily verified or where Mehmi identifies compliance, fraud, legal, reputational or underwriting concerns.

Where required or permitted by law, information may be disclosed to financing providers, service providers, governmental authorities, regulators or law-enforcement authorities.

Mehmi is not required to disclose internal fraud-detection criteria, lender risk rules, proprietary underwriting considerations or the precise reason that an application was declined by Mehmi.

10. NO GUARANTEE OF APPROVAL

Submitting an application does not guarantee:

  • approval;
  • a financing offer;
  • any particular financing amount;
  • any particular interest rate or pricing;
  • any particular term;
  • any particular payment;
  • any particular down payment;
  • approval without a personal guarantee;
  • approval without collateral;
  • approval from a particular financing provider; or
  • funding.

A financing provider may decline an application for any lawful underwriting reason.

11. PREQUALIFICATIONS, PRE-APPROVALS AND INDICATIVE QUOTES

Any estimate, prequalification, preliminary approval, pre-approval, term indication, payment estimate, rate indication or financing scenario provided before final financing documents are issued is preliminary and non-binding unless a financing provider expressly states otherwise in a legally binding written commitment.

A prequalification or pre-approval may be based on incomplete or unverified information.

It may be modified, suspended or withdrawn based on underwriting, verification, credit results, collateral review, documentation, material changes or other conditions.

A pre-approval is not the same as funding.

Applicants should not enter into irreversible commitments, make non-refundable deposits, purchase equipment or rely on financing being completed solely because Mehmi or a financing provider has communicated a preliminary approval.

12. RATES, PRICING AND COST OF FINANCING

Interest rates, payments, fees, financing charges and other costs are determined by the applicable financing provider and transaction structure.

Rates or payment examples advertised or communicated by Mehmi are illustrative unless expressly identified as final terms contained in binding financing documents.

Pricing may depend on factors including:

  • personal and business credit;
  • time in business;
  • revenue;
  • cash flow;
  • financial statements;
  • banking history;
  • collateral;
  • equipment type and age;
  • loan-to-value;
  • down payment;
  • industry;
  • transaction size;
  • term;
  • financing provider requirements; and
  • prevailing market conditions.

Depending on the product, financing costs may be described using an interest rate, annual percentage rate, annualized rate, factor rate, discount rate, lease factor, fixed payment amount, total financing cost or another pricing measure.

These measures are not necessarily equivalent or directly comparable.

You are responsible for reviewing the final financing documents and any legally required transaction-specific disclosures before accepting financing.

If information provided by Mehmi conflicts with final financing documents or legally required disclosures, the executed provider documents and applicable mandatory disclosures govern the financing transaction.

13. FUNDING TIMELINES

All funding timelines are estimates unless expressly guaranteed in writing by the financing provider.

Statements such as "same-day funding," "24-hour funding," "24 to 48 hours," "fast approval," "quick funding" or similar descriptions refer to possible processing speeds under favourable circumstances and are not guarantees.

Processing or funding may be delayed by:

  • incomplete documentation;
  • underwriting;
  • credit review;
  • financial review;
  • lender workload;
  • bank verification;
  • identity verification;
  • fraud review;
  • insurance;
  • appraisal or inspection;
  • equipment verification;
  • title searches;
  • lien searches;
  • PPSA or UCC searches or filings;
  • documentation corrections;
  • vendor issues;
  • down-payment verification;
  • legal review;
  • holidays;
  • bank processing;
  • wire-transfer delays;
  • system outages; or
  • matters outside Mehmi's reasonable control.

Unless expressly stated otherwise, any estimated processing period begins only after all requested documents and information have been received in satisfactory form.

Mehmi is not responsible for a purchase deadline, auction deadline, expiring quote, vendor deadline or other commercial deadline unless Mehmi expressly accepts that responsibility in a separate written agreement.

14. CONDITIONS PRECEDENT TO FUNDING

A credit approval does not constitute a guarantee that funding will occur.

Funding may remain subject to conditions including:

  • signed financing documents;
  • satisfactory identification;
  • satisfactory credit verification;
  • business verification;
  • financial statements;
  • bank statements;
  • tax documentation;
  • void cheque or banking information;
  • pre-authorized debit documentation;
  • invoice or bill of sale;
  • asset serial number or VIN;
  • equipment inspection;
  • appraisal;
  • title verification;
  • lien searches;
  • PPSA, RDPRM, UCC or similar security registrations;
  • insurance;
  • down payment;
  • proof of source of funds;
  • delivery and acceptance;
  • vendor verification;
  • personal guarantee documentation; and
  • any other condition imposed by the financing provider.

A financing provider may allow an approval to expire or may withdraw an approval before funding where permitted by applicable law and its contractual documentation.

15. PURCHASES, EQUIPMENT, VENDORS AND NON-REFUNDABLE DEPOSITS

Mehmi is not the seller, manufacturer, dealer, inspector or warrantor of equipment, vehicles or other property being financed.

Unless expressly agreed otherwise in writing, Mehmi does not independently warrant or guarantee:

  • equipment condition;
  • mechanical condition;
  • suitability;
  • merchantability;
  • title;
  • ownership;
  • market value;
  • purchase price;
  • delivery;
  • vendor performance;
  • vendor legitimacy; or
  • fitness for a particular purpose.

You are responsible for performing appropriate due diligence before purchasing an asset.

Approval of financing does not constitute Mehmi's endorsement of the vendor, seller, equipment, vehicle or purchase price.

Any deposit paid to a vendor or private seller is a matter between you and that seller unless otherwise provided in a separate written agreement.

Mehmi is not responsible for loss of a deposit, cancellation charge, storage cost, towing cost, auction penalty, lost opportunity or similar loss resulting from financing not being approved or funded, except to the extent such liability cannot lawfully be excluded.

Applicants are strongly encouraged to make purchase agreements and deposits conditional on satisfactory financing where possible.

16. PERSONAL GUARANTEES AND SECURITY

A financing provider may require one or more personal guarantees.

A personal guarantee becomes effective only under the applicable financing documents and is not created merely by accepting these Website Terms.

Financing providers may require security interests in equipment, accounts receivable, business assets or other collateral.

Such security may be registered under applicable legislation, including provincial personal-property security legislation in Canada or applicable U.S. Uniform Commercial Code provisions.

You are responsible for reviewing the lender or provider's security documentation before signing.

17. INSURANCE

A financing provider may require insurance before funding and throughout the financing term.

Requirements may include property, casualty, collision, comprehensive, third-party liability, commercial general liability or other coverage.

A financing provider may require that it be named as loss payee, lienholder and/or additional insured.

Failure to obtain or maintain required insurance may prevent funding or constitute a default under financing documents.

Mehmi is not an insurance broker and does not provide insurance advice.

18. MEHMI COMPENSATION AND THIRD-PARTY FEES

Mehmi may receive a commission, referral fee, brokerage compensation or other compensation from a financing provider or other commercial partner in connection with a successfully arranged or funded transaction.

Compensation arrangements may vary between financing providers and products.

You acknowledge that compensation payable to Mehmi may not be identical among financing providers.

Mehmi does not charge an upfront application fee to applicants.

A financing provider or other third party may impose administration fees, documentation fees, legal fees, appraisal fees, inspection fees, registration fees, lien-search fees, origination fees, closing fees or other charges.

Any client-paid brokerage fee, if ever applicable to a transaction, must be separately disclosed in writing and may be charged only where lawful.

Nothing in these Terms waives any disclosure obligation imposed by applicable law.

19. NO BEST-RATE OR WHOLE-OF-MARKET GUARANTEE

Mehmi maintains relationships with a network of financing providers, but those relationships do not encompass every financing source available in Canada or the United States.

Mehmi has no obligation to solicit offers from every possible financing provider.

Mehmi does not guarantee that the option presented will be the least expensive financing available from another bank, credit union, lender, lessor, factor, broker or provider.

Applicants remain free to independently compare financing options before signing final documentation.

20. SHARING AN APPLICATION WITH FINANCING PROVIDERS

To perform the requested brokerage Services, Mehmi may disclose relevant application and transaction information to prospective financing providers and service providers where permitted by law and in accordance with Mehmi's Privacy Policy.

Information disclosed may include business information, financial statements, bank statements, ownership information, credit information where lawfully obtained, requested financing details, equipment information and application documents.

Mehmi may determine which financing providers appear reasonably appropriate based on the information available.

Mehmi is not required to submit a file to every financing provider.

Applicants may withdraw an application by contacting Mehmi, but withdrawal may not reverse disclosures or credit inquiries lawfully made before the withdrawal request was received and processed.

21. PRIVACY AND CROSS-BORDER DATA PROCESSING

Mehmi collects, uses, stores and discloses personal and business information in accordance with its Privacy Policy and applicable law.

Because Mehmi operates across Canada and the United States and works with third-party financing and technology providers, information may be processed or stored outside the province, state or country in which it was collected where legally permitted.

Information located in another jurisdiction may be subject to lawful access requirements in that jurisdiction.

You should review Mehmi's Privacy Policy before submitting personal or financial information.

22. ELECTRONIC COMMUNICATIONS AND ELECTRONIC SIGNATURES

You agree to receive application-related communications electronically, including by email, telephone, secure portal and, where you provide a mobile number and applicable law permits, text message.

Electronic acceptance, electronic signatures and electronic records may be used to the extent permitted by applicable law.

When you click a button or checkbox stating that you agree to these Terms, your electronic acceptance is intended to have the same legal effect as a handwritten acceptance to the extent permitted by law.

Mehmi may maintain records of acceptance including the date and time, account information, Internet Protocol address, device or browser information, Terms version and other audit information.

Consent to receive promotional or marketing communications will be obtained separately where required by applicable law.

23. CALL RECORDING

Telephone or video communications with Mehmi may be monitored or recorded for training, quality assurance, security, documentation and compliance purposes where permitted by applicable law.

Where affirmative consent to recording is legally required, Mehmi will provide appropriate notice or obtain consent before recording.

24. THIRD-PARTY FINANCING PROVIDERS

Financing providers are independent businesses.

They are not employees, subsidiaries, agents or representatives of Mehmi merely because Mehmi submits an application to them or receives compensation from them.

Mehmi is not responsible for a financing provider's independent acts, omissions, underwriting decisions, servicing practices, collection activity or contractual performance, except to the extent responsibility cannot lawfully be excluded.

Any dispute concerning the administration, repayment, enforcement or servicing of financing after funding may be governed by your agreement with the applicable financing provider.

25. VENDOR, DEALER, BROKER AND REFERRAL PARTNERS

Mehmi may receive financing requests through equipment vendors, dealers, independent brokers, referral partners, websites or other third parties.

Unless expressly stated in a written agreement, no vendor, dealer, referral partner or independent broker has authority to bind Mehmi, guarantee approval, guarantee a rate, guarantee funding or alter these Terms.

Separate vendor, broker, ISO or referral agreements govern the relationship between Mehmi and such commercial partners.

A representation made by an independent third party is not binding on Mehmi unless Mehmi expressly confirms it in writing.

26. WEBSITE CALCULATORS, CONTENT AND EDUCATIONAL MATERIAL

Articles, calculators, payment estimates, rate examples, guides, videos, FAQs, advertisements, social media content and other materials made available by Mehmi are for general informational and educational purposes.

They do not constitute a financing commitment or individualized legal, tax, accounting, investment or financial advice.

Calculator outputs are estimates and may differ materially from actual financing offers.

27. THIRD-PARTY LINKS, TOOLS AND SERVICES

The Website may contain links to or integrations with third-party websites, software, identity services, banking tools, credit services or other platforms.

Mehmi does not control third-party services and does not guarantee their availability, accuracy, security or performance.

Use of third-party services may be subject to separate terms and privacy policies.

28. INTELLECTUAL PROPERTY

All text, branding, graphics, logos, designs, software, databases and other Website content owned by or licensed to Mehmi are protected by applicable intellectual-property laws.

Except as expressly permitted in writing, you may not copy, reproduce, scrape, republish, distribute, sell, license, modify or commercially exploit Mehmi's proprietary Website content.

29. FEEDBACK, TESTIMONIALS AND USER-SUBMITTED CONTENT

If you voluntarily provide a testimonial, review, suggestion, feedback or other content for publication, you grant Mehmi a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, adapt and display the submitted content for legitimate business purposes, subject to applicable privacy and advertising laws.

You represent that you have the right to provide such content and that it is not unlawful, defamatory or infringing.

Mehmi will not publicly disclose confidential financial information merely because it was provided in an application.

30. PROHIBITED USE

You may not use the Website or Services to:

  • engage in fraud or attempted fraud;
  • impersonate another individual or business;
  • submit falsified or manipulated documentation;
  • conceal beneficial ownership;
  • obtain financing for unlawful purposes;
  • circumvent geographic restrictions;
  • interfere with Website security;
  • introduce malware;
  • scrape or misuse proprietary data;
  • access another user's information without authorization;
  • misrepresent a financing approval;
  • misrepresent Mehmi as a lender; or
  • otherwise violate applicable law.

Mehmi may suspend or terminate access for suspected violations.

31. RIGHT TO REFUSE OR TERMINATE SERVICES

Mehmi may decline, suspend or discontinue Services at any time before funding where reasonably necessary due to:

  • credit concerns;
  • incomplete documentation;
  • unverifiable information;
  • suspected fraud;
  • compliance concerns;
  • lender requirements;
  • jurisdictional restrictions;
  • legal or regulatory requirements;
  • reputational risk;
  • abusive or threatening conduct;
  • material changes in the transaction; or
  • other legitimate business reasons.

Nothing in these Terms requires Mehmi to accept, broker or continue processing any application.

32. NO WARRANTY

To the maximum extent permitted by law, the Website and brokerage Services are provided on an "as is" and "as available" basis.

Mehmi does not warrant that the Website will be uninterrupted, error-free, completely secure or available at all times.

Mehmi does not warrant that any financing provider will approve or fund an application or that any financing product will remain available.

Nothing in this section excludes a warranty or legal obligation that cannot lawfully be excluded.

33. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Mehmi Group Corp. and its directors, officers, employees, contractors and agents shall not be liable for indirect, incidental, consequential, exemplary, special or punitive damages, lost profits, lost revenue, lost business opportunities, loss of anticipated savings, lost deposits or similar consequential commercial losses arising from or relating to the Website, Services, an application, financing decision or failure of a transaction to fund.

Without limiting the foregoing, Mehmi is not responsible for losses caused by:

  • an independent financing provider declining or withdrawing financing;
  • failure to satisfy financing conditions;
  • delays in underwriting or funding;
  • credit bureau activity lawfully authorized;
  • a vendor's conduct;
  • an applicant's inaccurate information;
  • bank or payment-system delays;
  • third-party system outages;
  • events outside Mehmi's reasonable control; or
  • the applicant entering into obligations before financing was fully funded.

To the maximum extent permitted by applicable law, Mehmi's aggregate liability arising from the Services shall not exceed the greater of:

(a) CAD $1,000; or
(b) the amount of brokerage or service fees actually paid directly by you to Mehmi in connection with the transaction giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability resulting from fraud, wilful misconduct or other liability that applicable law expressly makes non-waivable.

34. INDEMNIFICATION

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Mehmi Group Corp. and its directors, officers, employees, agents and contractors from third-party claims, losses, liabilities, damages, penalties, costs and reasonable legal expenses arising from:

  1. your material breach of these Terms;
  2. false, misleading, fraudulent or unauthorized information supplied by you;
  3. documents supplied by you without lawful authority;
  4. your unlawful use of the Website or Services;
  5. infringement of third-party rights by information or content supplied by you; or
  6. a dispute concerning a vendor, seller, asset or transaction for which you are legally responsible.

This indemnity does not apply to the extent a claim is caused by Mehmi's fraud, wilful misconduct, gross negligence where such exclusion is prohibited, or another matter for which indemnification cannot legally be required.

35. FORCE MAJEURE

Mehmi will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, civil disturbance, terrorism, epidemic or pandemic, government action, labour disruption, telecommunications failure, cyberattack, payment-network disruption, bank outage, financing-provider outage, utility failure or other similar events.

36. QUEBEC LANGUAGE REQUIREMENTS

Where the Charter of the French language or other applicable Québec law requires a French version of these Terms or related standard-form documentation to be provided before an applicant may agree to another language version, Mehmi will make the applicable French version available.

Where permitted by applicable law, an applicant may expressly request to contract in English after having access to the required French version.

Nothing in these Terms is intended to waive rights concerning contract language that cannot lawfully be waived.

37. REGULATORY AND TRANSACTION-SPECIFIC DISCLOSURES

Certain Canadian provinces and U.S. states may require financing providers, brokers or other participants to provide transaction-specific disclosures or notices.

These Website Terms do not replace those disclosures.

Where applicable law requires different or additional terms, notices, disclosures, cancellation rights or other protections, the mandatory legal requirement applies notwithstanding these Terms.

No provision of these Terms is intended to waive a statutory right that cannot legally be waived.

38. GOVERNING LAW

Subject to mandatory laws that cannot legally be excluded, these Terms and the relationship between you and Mehmi Group Corp. are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any proceeding concerning these Terms or Mehmi's brokerage Services shall be brought exclusively in the courts located in Ontario, Canada, unless applicable law requires another forum.

Each party irrevocably submits to the jurisdiction of those courts to the extent legally permitted.

To the extent a dispute is brought in a jurisdiction in which a jury trial is available, each party waives trial by jury to the maximum extent such waiver is enforceable.

To the maximum extent permitted by law, claims must be brought individually and not as a plaintiff or class member in a purported class, collective or representative proceeding.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where legally appropriate, and nothing waives a forum, jury or collective-proceeding right that applicable law makes non-waivable.

39. SEVERABILITY

If any provision of these Terms is found invalid, illegal or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

If modification is not possible, the offending provision shall be severed without affecting the remaining provisions.

40. NO WAIVER

Failure by Mehmi to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

A waiver is effective only if made in writing by an authorized representative of Mehmi.

41. ASSIGNMENT

You may not transfer or assign your rights under these Terms without Mehmi's prior written consent.

Mehmi may assign these Terms in connection with a corporate reorganization, merger, acquisition, sale of substantially all assets or transfer of the applicable business, subject to applicable law.

42. CHANGES TO THESE TERMS

Mehmi may amend these Terms from time to time to reflect changes in law, Services, technology, products or business practices.

The current version will identify its effective date.

Material amendments may require renewed acceptance where appropriate or legally required.

An amendment will not retroactively eliminate a right or obligation that applicable law prohibits Mehmi from changing retroactively.

For financing applications, the version affirmatively accepted in connection with the relevant application may be retained as part of the transaction record.

43. ELECTRONIC RECORD OF ACCEPTANCE

You acknowledge that Mehmi may retain evidence demonstrating acceptance of these Terms, including:

  • the Terms version accepted;
  • date and time;
  • electronic checkbox or acceptance action;
  • account or application identifier;
  • IP address;
  • browser or device information; and
  • associated electronic records.

You may save or print a copy of these Terms for your records.

44. SURVIVAL

Provisions concerning intellectual property, compensation, privacy, limitations of liability, indemnification, governing law, dispute resolution and any provisions that by their nature should continue shall survive termination of Services.

45. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

These Terms, together with Mehmi's Privacy Policy and any separate agreement expressly entered into between you and Mehmi, constitute the agreement governing your use of Mehmi's Website and brokerage Services.

For the actual financing transaction, the financing provider's executed documents and mandatory disclosures govern the legal financing relationship between you and that provider.

If a separate written agreement signed by Mehmi expressly conflicts with these Website Terms, the specific signed agreement controls to the extent of that conflict.

46. WEBSITE AND OFFICE DISCLAIMER

Mehmi's listed locations may include business offices, coworking locations, mailing addresses, virtual-office facilities or appointment-only locations.

A listed office is not necessarily a retail branch or a location staffed for walk-in service.

None of Mehmi's locations should be interpreted as a bank branch or direct-lending branch merely because financing brokerage Services are associated with that address.

48. ACKNOWLEDGEMENT

BY ELECTRONICALLY ACCEPTING THESE TERMS, YOU CONFIRM THAT:

  1. you have had an opportunity to read these Terms;
  2. you understand that Mehmi is a commercial financing broker and not a direct lender;
  3. you understand that financing is subject to independent provider approval and conditions;
  4. you understand that quoted rates, payments and funding timelines are not guaranteed unless expressly stated in binding financing documents;
  5. you certify that financing requested is for a legitimate commercial or business purpose;
  6. you acknowledge the geographic and product-specific restrictions described above;
  7. you understand that separate authorization may be required before personal consumer credit reports are obtained; and
  8. you agree to be legally bound by these Terms.
